Terms and Conditions

1. Terms of Use

These terms of use together with the policies identified in Section 2 below (collectively referred to as the “Terms of Use”) constitute a legally binding agreement between you and us and serve to define the terms on which you may make use of our website www.realvision.com and any other products or services of Real Vision (collectively, our “Site”). Use of our Site includes accessing, browsing, or registering to use our Site. The information on our Site is for personal, non-commercial use only. By using our Site, or any other products or services of Real Vision, you are indicating that you have read and accepted these Terms of Use and the documents referred to below. If you do not agree to these Terms of Use you may not use the Site.

If you subscribe to our Site through a corporate or other group membership, the words “you” or “your” in these Terms of Use policy may apply (with the exception of references to notices or other communications from us or to payment and renewal matters) to each member of your corporate or other group membership account.

Please read these Terms of Use carefully before you use our Site, and check back frequently for any changes hereto.

4. Registration, Account, and Password

In order to access certain Site Content and other products and services of Real Vision, you will have to create an account and become a member. Membership may be offered for a period of 12 months from the date of subscription, and in such case may be automatically renewed for a 12 month term at the expiry of the initial term (unless you cancel your membership prior to the automatic renewal taking place). If you are not a member you may browse all areas of the Site or use the parts of the Services that are not limited to members only. To become a subscribing member, you must provide a valid payment method and other payment information at the time of registration. Please refer to Fees, Automatic Renewal and Termination below for further billing information. When you register, you will be asked to provide a username, password and/or other information as part of our security procedures. You must treat such information as confidential. In particular, you are responsible for the privacy and safety of your password and you agree not to disclose it to any third party. By becoming a member (i) you agree to immediately notify us of any unauthorised use of your password, (ii) you warrant that all information provided by you (whether at time of registration or afterwards) is accurate, true and complete at the time it is given; (iii) you consent to the use of electronic means to provide you with any notices given pursuant to these Terms of Use, and (iv) you consent to the use of electronic records to store information related to our Site or Terms of Use.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use, or we believe such information has been compromised. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at milton@realvision.com.

Your access to any forums or community pages are privileges and not an essential part of any membership plan. We have the right to block, deny or restrict the usage of the same by you at any time for any reason, including without limitation, any misuse, use in any manner inconsistent with this Agreement or inappropriate conduct, including conduct which (i) is defamatory, obscene, pornographic, vulgar or offensive; (ii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iii) is violent or threatening or promotes violence or actions that are threatening to any person or entity; (iv) promotes illegal or harmful activities or substances, or encourages any conduct that would violate, any applicable law or regulation or (v) misappropriates or violates a third party’s any rights, or rights of publicity or privacy.

5. Fees, Automatic Renewal, and Termination

IMPORTANT: SUBSCRIPTIONS AUTOMATICALLY RENEW.

Subscription payment indicates your agreement to these Terms of Use.  The day that you register to use our Site is the first day of your billing cycle. Your paid membership will be automatically renewed, and billing will occur annually on a recurring basis on the anniversary date of your registration on our Site, unless otherwise indicated. As a courtesy to you, we aim to notify you four weeks in advance of the automatic renewal date. If we fail to notify you in advance of the automatic renewal (or if you do not receive that notice for any reason, including a failure on our part) that failure does not affect the automatic renewal process. Our legal agreement with you will automatically renew and we will automatically take payment for the renewed term of the agreement.

We reserve the right to adjust the price of membership at any time. By purchasing a membership you authorize us to charge the applicable fee amount at the time of purchase or activation (at our discretion) and annually thereafter. We reserve the right to change our billing format so that it is based on a set annual date rather than on the membership renewal date, and in such event we will prorate the membership fee accordingly, and your continued membership will constitute our authority to charge the applicable fee amount according to any new billing format.

We use a third party company to perform membership payment functions on our behalf. In the event that we are informed by the third party payment company that your renewal fee has not been paid in full, you may be contacted by our third party payment company to rectify the payment issue and be asked to provide an alternative method of payment. In the event of a default in payment for any reason, we reserve the right to cancel your membership at any time thereafter or to continue your membership until the payment default is resolved.

You may cancel your membership at any time by contacting us using the details below under the heading “Contact Us.” We reserve the right to cancel your membership in the event of non-compliance with any of these Terms of Use.

You will not be entitled to a refund of the annual membership fee in the event that your membership is terminated part way through the year.

To cancel your membership, email us at milton@realvision.com or contact us by post or courier to the address set out above under the heading Information About Us. Your cancellation notice will be deemed effective as follows: (i) if sent by email, then on the next business day, (ii) if sent by post, on the tenth business day following the date of posting, and (iii) if sent by courier service, on the business day following the courier service provider’s stated date of arrival.

If you participate in a free trial offer for membership, we may, either after an initial free trial period or at the beginning of your access to the paid services, charge an automatically-renewing subscription fee. For clarity, if you participate in a free trial offer for paid services, your membership will automatically be charged as a subscription for paid services unless you cancel your subscription prior to the end of the free trial period.

BY USING OR ACCESSING THE PAID SERVICES, YOU ARE AGREEING TO BE BOUND BY THESE USER TERMS.

6. Changes to these Terms and the Site

We may modify any of these Terms of Use at any time by amending this page and we may at any time amend any of our policies referred to in these terms under Other Applicable Terms. Such amended Terms of Use and any amended policies shall govern our relationship. By continuing to access or use our Site after such modification of these terms, you agree to be bound by the modified Terms of Use. If any modified Terms of Use or modified policies are not acceptable to you, your sole remedy is to cease using our Site. Please check this page from time to time to take notice of any changes we made, as they are binding on you.

Further, we may update our Site from time to time, and may change the content at any time. However, please note that any of the content on our Site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that our Site, or any content on it, will be free from errors or omissions.

7. Accessing our Site

We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Site without notice. We will not be liable to you if for any reason our Site is unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to our Site. You are also responsible for ensuring that all persons who access our Site through your internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with all of them.

8. Intellectual Property Rights

We are the owner or the licensee of, or otherwise have permission to use, all intellectual property rights on our Site and the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

YOU MAY NOT REPRODUCE ANY OF THE SITE CONTENT OR PORTION THEREOF FOR ANY PUBLIC OR COMMERCIAL PURPOSES (INCLUDING ON YOUR OWN SITE, IN SOCIAL MEDIA, OR OTHERWISE) WITHOUT OBTAINING A WRITTEN LICENSE FROM REAL VISION.

REAL VISION HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE SITE AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU FURTHER WAIVE AND HOLD HARMLESS REAL VISION FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY REAL VISION DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER REAL VISION OR LAW ENFORCEMENT AUTHORITIES. 10. Limit of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REAL VISION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE AND RELAT$ED SERVICES, WHETHER OR NOT REAL VISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF THE SITE OR SERVICES, ON ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT INCLUDING NEGLIGENCE, OR HOWSOEVER OTHERWISE) ARISING OUT OF, IN CONNECTION WITH, OR RESULTING FROM THE SERVICES. REAL VISION’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL IN NO EVENT EXCEED THE GREATER OF $500 OR THE AMOUNT PAID BY YOU TO REAL VISION FOR THE 12 MONTHS PRECEDING THE SERVICES IN QUESTION.

11. Disclaimer Regarding AI Use and Potential Outcomes

When using the Real Vision services powered by artificial intelligence (AI) provided on this platform, there’s a possibility that the AI might produce results that are hallucinatory, inaccurate, not reflective of reality or just plain wacky. Users should exercise caution and not rely on the outcomes produced by the AI without verifying or corroborating the information with other reliable sources. And by all means, enjoy the possibilities of the AI, but do not rely on outcomes as financial advice of any kind.

We make no warranties or representations regarding the accuracy, reliability, or completeness of any AI-generated content. Use of our AI services is at your own risk. 16. Arbitration and Class Action Waiver. Arbitration.

You agree to defend, indemnify, and hold us (and our officers, directors, employees and agents), harmless from and against any claims, liabilities, damages, losses and expenses, including without limitation reasonable attorney’s fees and costs, arising from of or in any way connected with (i) access to or use of our Site by you and/or any member of your corporate or group membership or (ii) violation by you and/or any member of your corporate or group membership of these Terms of Use or of any third party right (for example but without limitation, an intellectual property right, publicity, confidentiality, property or privacy right).

READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM Real vision.

For any dispute with Real vision, you agree to first contact us at legal@realvision.com and attempt to resolve the dispute with us informally. In the unlikely event that Real vision has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to this Agreement, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration in accordance with the Rules of Arbitration of the Cayman Islands Chamber of Commerce in force at the time of the dispute. The arbitration shall be conducted by a single arbitrator appointed in accordance with the said Rules. The seat of arbitration shall be in the Cayman Islands, and the language of the arbitration shall be English. The arbitrator shall apply the laws of the Cayman Islands in adjudicating the dispute, without regard to its conflicts of laws principles. The parties agree that the arbitration proceedings and any related documents, including awards, shall be kept confidential and not disclosed to any third party, except as may be required by law or for the purpose of enforcing or challenging the award. The arbitral award shall be final and binding on the parties, and any judgment upon the award may be entered in any court having jurisdiction thereof. This arbitration clause shall survive the termination or expiration of our agreement with you.

CLASS ACTION/JURY TRIAL WAIVER. WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICES FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND REAL VISION ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND

18. General

Applicable Law: These Terms of Use, its subject matter and its formation, are governed by Cayman Islands law. You and we both agree to that the courts of the Cayman Islands will have exclusive jurisdiction.

Severability and Waiver: If any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions will continue to be of full force and effect. Our election not to enforce (immediately or otherwise) any right or provision of these Terms of Use will not constitute a waiver of such right or provision.

Directly from you: We collect information about you when you provide them to us. Collection of Personal Financial Information by a Payment Service

In some cases, we may use an unaffiliated payment service to allow you to purchase a product or make payments (“Payment Service”). Depending on the product or services involved, your financial information may be collected in one of two ways:

  • You may be directed to a Payment Service webpage. Any information that you provide to a Payment Service will be subject to the applicable Payment Service’s privacy policy, rather than this Privacy Policy. How We Share Your Information

Real Vision and its subsidiaries may share your information with one another, as well as with Real Vision Affiliates for the purposes described in this Privacy Policy, including for each company’s marketing purposes. Real Vision is the party responsible for the management of the jointly-used Personal Information.

  • To complete a merger, sale of assets, or bankruptcy: If Real Vision sells all or part of its business or makes a sale or transfer of its assets or is otherwise involved in a merger, bankruptcy, or transfer of all or a material part of its business, Real Vision may transfer your information to the party or parties involved in the transaction as part of that transaction.

Certain features on the Real Vision Services give you an opportunity to interact with us and others. These may include the collaboration tools, community forums, chats, submitting a letter to the editor, creating community profiles, and rating, tagging and commenting on articles. When you use these features, you should be aware that any information you submit, including your name, user name, location, email address, profile information, picture, likes, status, and comments, may be publicly available to anyone, including other users, search engines, advertisers, third party application developers, and anyone else with access to the Real Vision Services. We are not responsible for any information you choose to submit and make public through these interactive features.

Security

Real Vision uses a combination of administrative, technical, personnel and physical measures to safeguard Personal Information in its possession against loss, theft and unauthorized use, disclosure or modification. However, no one can guarantee the complete safety of your information. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any account you might have with us has been compromised), please immediately notify us of the problem by contacting our customer service representatives through the messaging functionality made available to you on the Site and through the Services.

Retention

We will only retain your information for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. To determine the appropriate retention period for your information, we consider the amount, nature, and sensitivity of the information, the potential risk of harm from unauthorized use or disclosure of your information, the purposes for which we process your information and whether we can achieve those purposes through other means, and the applicable legal requirements.

Additional EU Disclosures

Our role as data controller and data processor

Real Vision Group SEZC is the data controller of your information submitted through our Site. If you are situated in the EU and have any complaints regarding our privacy practices as data controller, you have the right to make a complaint at any time to your local Supervisory Authority. We would, however, appreciate the chance to deal with your concerns before you approach your Supervisory Authority so please contact us in the first instance. Provision of personal data and failure to provide personal data

Where we need to collect personal data by law, or under the terms of a contract we have with you and you fail to provide that data when requested, we may not be able to perform the contract we have or are trying to enter into with you (for example, to provide you with our services). In this case, we will not be able to provide services to you.

Legal basis for our processing of your personal data

Below are the types of lawful basis that we will rely on to process your personal data:

  • Legitimate Interest means the interest of our business in conducting and managing our business to enable us to give you the best service/product and the best and most secure experience. We make sure we consider and balance any potential impact on you (both positive and negative) and your rights before we process your personal data for our legitimate interests. We do not use your personal data for activities where our interests are overridden by the impact on you (unless we have your consent or are otherwise required or permitted to by law). Use of your personal data for marketing purposes

We strive to provide you with choices regarding certain personal data uses, particularly around marketing and advertising:

Your Choices Regarding Our Use and Disclosure of Your Personal Information

We give you certain choices regarding our use and disclosure of your Personal Information for marketing purposes.

Opting Out of Interest Based Advertising
